Terms of Service
The terms and conditions governing your use of Beacon Filing's professional services, website, and communications.

1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Beacon Filing ("Company," "we," "us," or "our"), a professional services firm headquartered in New Delhi, India, providing company registration, regulatory compliance, and advisory services for foreign businesses, non-resident Indians (NRIs), and international entrepreneurs seeking to establish or operate a business in India.
By engaging our services, accessing our website at beaconfiling.com, or communicating with us through any channel — including WhatsApp, email, telephone, or our online forms — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services or website.
2. Definitions
- "Services" means the professional, advisory, and facilitation services provided by Beacon Filing, including but not limited to: company incorporation (private limited, LLP, branch office, liaison office, project office), director identification number (DIN) applications, digital signature certificates (DSC), tax registrations (PAN, TAN, GST), regulatory filings with the Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI) compliance, annual compliance, and general business advisory.
- "Engagement" means the scope of work agreed upon between you and Beacon Filing, whether documented via a proposal, email confirmation, WhatsApp message, or other written communication.
- "Deliverables" means the documents, filings, certificates, reports, or other outputs produced as a result of the Services.
- "Government Fees" means any statutory fees, stamp duties, or charges payable to government authorities, which are separate from Beacon Filing's professional fees.
3. Scope of Services
Beacon Filing provides professional facilitation and advisory services relating to business formation and regulatory compliance in India. The specific scope of each engagement is defined at the time of onboarding and may be documented via a written proposal, email, or messaging confirmation.
We act as facilitators and advisors. We do not provide legal opinions, practise law, or act as your legal counsel. Where legal representation is required, we will recommend that you engage a licensed advocate. Similarly, while we assist with tax registrations and filings, we do not provide certified audit opinions; such work is performed by our network of chartered accountants who hold independent professional responsibility.
Our services are subject to the applicable laws and regulations of India, including the Companies Act, 2013, the Limited Liability Partnership Act, 2008, the Foreign Exchange Management Act, 1999 (FEMA), and related rules and regulations as amended from time to time.
4. Client Obligations
You agree to:
- Provide accurate, complete, and up-to-date information and documents required for the performance of the Services, including identity documents, proof of address, board resolutions, and financial statements.
- Respond to our requests for information, approvals, or signatures in a timely manner. Delays in providing required inputs may result in delayed deliverables and do not entitle you to a refund or discount.
- Ensure that all documents and information provided are genuine and lawfully obtained. You bear sole responsibility for the accuracy and legality of the information you supply.
- Cooperate with any government authority that may require additional information or verification during the course of your engagement.
- Not use our services for any unlawful purpose, including money laundering, tax evasion, fraud, or any activity that violates applicable Indian or international law.
5. Fees and Payment
Our professional fees are communicated at the time of engagement and may be set out in a proposal, quotation, or written confirmation. Unless otherwise stated in writing:
- All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes, including Goods and Services Tax (GST) at the prevailing rate.
- Government fees, stamp duties, notarisation charges, apostille fees, and third-party costs are charged separately at actuals and are not included in our professional fees.
- Payment is due as per the schedule communicated in our proposal or invoice. We may require advance payment or a retainer before commencing work.
- Late payments may attract interest at the rate of 1.5% per month on the outstanding amount, calculated from the due date until the date of full payment.
- We reserve the right to suspend or discontinue services if payments are not received by the due date, without liability for any resulting delays.
6. Refund Policy
Government fees paid on your behalf to statutory authorities are non-refundable under any circumstances, as these are collected and retained by the respective government body.
Professional fees for work that has already been commenced or completed are non-refundable. If you wish to cancel an engagement before work has begun, you may be entitled to a partial refund of the professional fee component at our discretion, less any administrative costs already incurred.
Refund requests, if any, must be submitted in writing to hello@beaconfiling.com within 7 days of the payment date.
7. Timelines and Deliverables
Any timelines communicated by us are estimates based on prevailing government processing times and standard procedures. Actual completion times may vary due to factors beyond our control, including:
- Government portal downtime or technical issues on MCA, RBI, or other regulatory portals.
- Additional scrutiny or queries raised by the Registrar of Companies (RoC) or other authorities.
- Delays in receiving required documents or information from you.
- Changes in applicable laws, rules, or government procedures.
We shall not be liable for any loss, damage, or expense arising from delays caused by the above factors. We will, however, use reasonable efforts to keep you informed of progress and any foreseeable delays.
8. Communication
We communicate with clients through multiple channels including email, WhatsApp, telephone, and video conferencing. By engaging our services, you consent to receiving communications through these channels, including service updates, document requests, and marketing communications.
You may opt out of marketing communications at any time by contacting us at hello@beaconfiling.com. Service-related communications are essential to the performance of our engagement and cannot be opted out of while an engagement is active.
We endeavour to respond to all client communications within one business day. Response times may vary during Indian public holidays, weekends (Saturday and Sunday), and periods of high volume.
9. Confidentiality
We treat all client information as confidential. We will not disclose your personal or business information to third parties except:
- Where necessary to perform the Services (e.g., filing documents with government authorities, engaging our network of chartered accountants or company secretaries).
- Where required by law, regulation, court order, or a directive from a regulatory authority.
- With your prior written consent.

10. Intellectual Property
All content on the Beacon Filing website — including text, graphics, logos, icons, images, templates, guides, and software — is the intellectual property of Beacon Filing or its licensors and is protected by applicable copyright and trademark laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our website without our prior written permission.
Deliverables produced specifically for your engagement (such as incorporation documents, filing forms, and compliance reports) belong to you upon full payment of all applicable fees. Our proprietary methodologies, templates, checklists, and internal processes remain our intellectual property.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Cap on liability. Beacon Filing's total aggregate liability to you for any and all claims arising out of or in connection with the Services shall not exceed the total professional fees actually paid by you for the specific engagement giving rise to the claim.
- Exclusion of consequential damages. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of opportunity, loss of data, or reputational harm, regardless of whether such damages were foreseeable or whether we were advised of the possibility thereof.
- Government actions. We are not liable for any action, inaction, delay, or decision by any government authority, including but not limited to rejection of applications, imposition of penalties, or changes in law or policy.
- Third-party services. We are not liable for the acts or omissions of third-party professionals (including chartered accountants, advocates, and notaries) engaged at your request or with your consent, even if recommended by us.
12. Indemnification
You agree to indemnify, defend, and hold harmless Beacon Filing, its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms.
- Any inaccurate, incomplete, or fraudulent information or documents provided by you.
- Your violation of any applicable law or regulation.
- Any third-party claim arising from your use of the Deliverables.
13. Disclaimer of Warranties
Our Services are provided on an "as is" and "as available" basis. While we strive for accuracy and professionalism in all our work, we make no representations or warranties, express or implied, regarding:
- The guaranteed approval of any application by a government authority.
- The accuracy of information available on third-party or government websites.
- The uninterrupted or error-free operation of our website.
- The suitability of our Services for any particular purpose beyond the agreed scope.
The content on our website, including guides, articles, and glossary entries, is for general informational purposes only and does not constitute legal, tax, or financial advice.
14. Termination
Either party may terminate an engagement by providing written notice to the other party. Upon termination:
- You shall pay for all Services rendered and expenses incurred up to the date of termination.
- We shall deliver to you all Deliverables completed up to the date of termination, subject to receipt of full payment.
- Government fees already paid on your behalf are non-refundable.
- Obligations relating to confidentiality, limitation of liability, and indemnification shall survive termination.
We reserve the right to immediately terminate or suspend the engagement without notice if we reasonably believe that you have provided false information, are engaging in unlawful activity, or have breached these Terms in any material respect.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of the affected party, including but not limited to: natural disasters, pandemics, government actions or orders, civil unrest, strikes, power failures, internet or telecommunications outages, or cyberattacks.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms, including their validity, breach, or termination, shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
17. Dispute Resolution
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days from the date of written notice of the dispute.
If the dispute cannot be resolved through negotiation, either party may refer the matter to arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, and the seat of arbitration shall be New Delhi, India. The language of arbitration shall be English.
The decision of the arbitrator shall be final and binding on both parties. The costs of arbitration shall be borne as determined by the arbitrator.
18. Website Use
By accessing the Beacon Filing website, you agree to the following:
- You will not attempt to gain unauthorised access to any part of the website, its servers, or any connected systems.
- You will not use automated tools (scrapers, bots, crawlers) to extract content from the website without our prior written consent.
- You will not transmit any malicious code, virus, or harmful material through the website.
- External links on our website are provided for convenience only. We do not endorse or accept responsibility for the content of third-party websites.
19. Amendments
We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Your continued use of our Services or website after any such changes constitutes your acceptance of the revised Terms.
For active engagements, material changes to these Terms will be communicated to you via email or WhatsApp.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
21. Entire Agreement
These Terms, together with any written proposal, engagement letter, or scope of work agreed between the parties, constitute the entire agreement between you and Beacon Filing with respect to the subject matter hereof. They supersede all prior or contemporaneous oral or written communications, proposals, and representations.
